1. INTRODUCTION

Welcome to Minute Jets FZ-LLC ("Minute Jets", "we", "our", or "us").

These Terms & Conditions ("Terms") govern your access to and use of our website, applications, digital platforms, and the private jet charter brokerage services provided by Minute Jets FZ-LLC.

By accessing our website, requesting a quotation, making a booking enquiry, confirming a charter, or using any of our services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

If you do not agree with these Terms, you must not use our website or services.

These Terms apply to all individuals, companies, organizations, agents, representatives, and passengers using our services.


2. COMPANY INFORMATION

Minute Jets FZ-LLC is a company incorporated within the Sharjah Media City Free Zone ("SHAMS"), United Arab Emirates.

Minute Jets is a Private Jet Charter Brokerage Company.

Minute Jets is not:

  • an airline;
  • an aircraft owner;
  • an aircraft operator;
  • an Air Operator Certificate (AOC) holder;
  • an air carrier; or
  • an aviation authority.

Minute Jets acts solely as an independent intermediary that arranges private aircraft charter services between customers and appropriately licensed third-party aircraft operators.

All flights arranged through Minute Jets are performed exclusively by independent aircraft operators holding the licences, approvals, operating certificates and regulatory authorisations required by the jurisdiction in which the flight is conducted.


3. DEFINITIONS

For the purposes of these Terms:

Aircraft means any airplane or helicopter provided by an independent aircraft operator.

Air Operator means the licensed company operating the aircraft under its Air Operator Certificate.

Booking means any confirmed charter reservation accepted by both Minute Jets and the selected aircraft operator.

Brokerage Services means the services provided by Minute Jets in sourcing, negotiating, arranging and facilitating private aircraft charter services.

Charter Agreement means the agreement governing a particular flight between the customer and the applicable parties.

Customer means any individual, corporation, organisation or entity requesting or using our services.

Flight Operator means the licensed company operating the aircraft.

Operator Terms means the separate contractual conditions imposed by the operating air carrier.

Passenger means every individual travelling on the aircraft.

Quotation means a non-binding estimate prepared by Minute Jets.

Website includes our website, customer portal, booking platform and associated online services.


4. ACCEPTANCE OF THESE TERMS

By using our services you confirm that:

  • you are at least eighteen (18) years of age or otherwise possess the legal capacity to enter into binding agreements under applicable law;
  • you possess authority to act on behalf of all passengers included within a booking where applicable;
  • all information supplied is complete, accurate and current;
  • you have authority to bind any company or organisation you represent;
  • all passengers agree to comply with these Terms and any applicable operator requirements.

If you are acting on behalf of another individual or organisation, you warrant that you possess full legal authority to do so.


5. OUR SERVICES

Minute Jets provides aviation brokerage services which may include:

  • sourcing available private aircraft;
  • obtaining charter quotations;
  • negotiating charter availability;
  • coordinating charter bookings;
  • facilitating communication between customers and operators;
  • arranging itinerary modifications where possible;
  • coordinating ancillary travel requests;
  • arranging concierge services where available;
  • assisting with airport slot coordination through the operator where applicable;
  • assisting with flight planning communications;
  • facilitating special passenger requests.

Minute Jets exercises reasonable skill and care when arranging charter services but does not guarantee aircraft availability.

Every booking remains subject to operator acceptance.


6. OUR STATUS AS A BROKER

Minute Jets acts solely as an independent aviation broker.

We do not own aircraft.

We do not operate aircraft.

We do not employ flight crew for charter operations.

We do not maintain operational control over flights.

Operational control remains exclusively with the licensed aircraft operator.

The operator is solely responsible for:

  • aircraft maintenance;
  • flight safety;
  • operational decisions;
  • crew qualifications;
  • pilot licensing;
  • fuel planning;
  • weather assessments;
  • dispatch decisions;
  • compliance with aviation regulations;
  • passenger safety;
  • aircraft insurance;
  • flight execution.

Minute Jets has no authority to direct the pilot regarding operational safety matters.

The aircraft commander has absolute authority regarding every operational decision affecting the flight.


7. NO AIR CARRIER RELATIONSHIP

Minute Jets is not an air carrier.

Minute Jets does not provide air transportation.

Minute Jets does not assume the legal responsibilities of an airline or aircraft operator.

The contract for the operation of a flight is performed by the licensed operator.

Nothing contained within these Terms shall be interpreted as creating an airline-passenger relationship between Minute Jets and any passenger.


8. CHARTER QUOTATIONS

All quotations provided by Minute Jets are:

  • subject to aircraft availability;
  • subject to operator confirmation;
  • subject to airport availability;
  • subject to landing permits;
  • subject to regulatory approvals;
  • subject to weather conditions;
  • subject to governmental restrictions;
  • subject to aircraft positioning requirements;
  • subject to revision before booking confirmation.

Unless expressly stated otherwise, quotations:

  • are non-binding;
  • may expire without notice;
  • do not constitute a confirmed booking;
  • do not guarantee aircraft availability.

Quoted pricing may change due to operational circumstances outside Minute Jets' reasonable control, including but not limited to fuel prices, airport fees, repositioning requirements, crew duty limitations, currency fluctuations, governmental taxes, and operator pricing adjustments.


9. BOOKING PROCESS

A booking generally consists of the following stages:

  1. Customer submits a charter request.
  2. Minute Jets identifies suitable aircraft.
  3. Quotations are obtained.
  4. Customer selects a preferred quotation.
  5. Minute Jets requests confirmation from the operator.
  6. Operator confirms aircraft availability.
  7. Payment requirements are communicated.
  8. Required documentation is collected.
  9. Passenger details are verified.
  10. Booking is confirmed.
  11. Flight itinerary is issued.

A booking shall not be deemed confirmed until all applicable confirmation requirements have been satisfied, including any required payments, documentation, operator acceptance, and regulatory clearances.


10. PAYMENTS

Unless otherwise agreed in writing, payment shall be made in accordance with the payment instructions provided by Minute Jets.

Depending on the structure of a particular transaction:

  • Minute Jets may collect payment as broker on behalf of the operating aircraft provider;
  • payments may be transferred to the applicable operator;
  • certain services may require payment directly to third-party providers.

The Customer acknowledges that funds received by Minute Jets for charter arrangements may be held, processed and transferred in accordance with the agreed booking structure.

Failure to make payment within the required timeframe may result in:

  • cancellation of the booking;
  • loss of aircraft availability;
  • additional costs;
  • revised pricing;
  • operator cancellation charges.

Minute Jets reserves the right to decline or cancel bookings where payment verification cannot be completed.


11. CUSTOMER RESPONSIBILITIES

Customers agree to:

  • provide accurate passenger information;
  • provide valid identification documents;
  • ensure passport validity;
  • obtain visas where required;
  • comply with customs regulations;
  • comply with immigration requirements;
  • comply with security screening procedures;
  • provide truthful declarations regarding baggage;
  • disclose dangerous goods where applicable;
  • comply with all applicable laws and aviation regulations.

Customers remain solely responsible for ensuring that all passengers possess the legal right to enter, transit through and depart every jurisdiction included within the itinerary.

Minute Jets shall not be responsible for denied boarding arising from incomplete documentation, immigration restrictions, visa issues, customs requirements, or passenger ineligibility.


12. PASSENGER INFORMATION

The Customer warrants that all passenger information submitted to Minute Jets is accurate, complete, and lawful.

Minute Jets may request information including, but not limited to:

  • full legal names;
  • dates of birth;
  • passport details;
  • nationality;
  • contact information;
  • emergency contacts;
  • baggage information;
  • pet travel information;
  • dietary requests;
  • special assistance requirements.

The Customer is responsible for ensuring that all submitted information remains accurate prior to departure. Any inaccuracies may result in operational delays, additional charges, or the inability to perform the charter.


13. RIGHT TO REFUSE SERVICE

Minute Jets reserves the right, to the extent permitted by applicable law, to refuse to arrange or continue providing brokerage services where:

  • fraudulent information has been provided;
  • payment obligations are not met;
  • a booking would violate applicable laws or sanctions;
  • the requested activity presents a legal, regulatory, or safety concern; or
  • continuing the engagement would expose Minute Jets or its partners to unacceptable legal or commercial risk.

Where a flight has already been accepted by an operator, boarding decisions and operational safety decisions remain solely with the operator and the aircraft commander.


14. AIRCRAFT OPERATOR RESPONSIBILITIES

All charter flights arranged through Minute Jets are operated exclusively by independent third-party aircraft operators holding the licences, certifications and regulatory approvals required under the laws applicable to their operations.

The operating aircraft provider shall be solely responsible for, including but not limited to:

  • Aircraft operation;
  • Flight planning;
  • Operational control;
  • Pilot qualifications;
  • Crew scheduling;
  • Aircraft maintenance;
  • Airworthiness;
  • Fuel planning;
  • Weather assessment;
  • Safety management;
  • Regulatory compliance;
  • Passenger safety;
  • Security procedures;
  • Flight dispatch;
  • Operational decisions before and during the flight.

Minute Jets has no authority to influence, override or direct operational decisions made by the aircraft operator or the Pilot-in-Command.

The Pilot-in-Command shall retain absolute authority over all matters relating to the safe operation of the aircraft.


15. AIRCRAFT SUBSTITUTION

Operational circumstances may require the operating aircraft to be substituted.

Aircraft substitutions may occur due to:

  • maintenance requirements;
  • operational limitations;
  • weather;
  • technical issues;
  • regulatory requirements;
  • crew availability;
  • airport restrictions;
  • safety considerations.

Where reasonably possible, the replacement aircraft shall provide a comparable level of comfort and operational capability.

Minute Jets shall use commercially reasonable efforts to notify the Customer promptly of any aircraft substitution.

Aircraft substitutions made for operational or safety reasons shall not constitute a breach of these Terms.


16. FLIGHT SCHEDULES

All departure times are estimates.

Private aviation operations are subject to numerous operational variables including:

  • weather;
  • air traffic control;
  • airport slot availability;
  • runway restrictions;
  • governmental directives;
  • security procedures;
  • technical inspections;
  • aircraft positioning;
  • crew duty limitations;
  • customs clearance.

Accordingly, Minute Jets cannot guarantee exact departure or arrival times.

Flight schedules remain subject to change without prior notice where required for operational or safety reasons.


17. DELAYS

Flights may be delayed for reasons beyond the reasonable control of Minute Jets, including but not limited to:

  • adverse weather;
  • air traffic congestion;
  • airport closures;
  • mechanical inspections;
  • technical defects;
  • governmental restrictions;
  • customs inspections;
  • security alerts;
  • medical emergencies;
  • crew duty limitations;
  • aircraft repositioning;
  • runway closures.

Minute Jets shall make reasonable efforts to communicate known delays to the Customer as soon as practicable.

Minute Jets shall not be liable for losses resulting from operational delays beyond its reasonable control.


18. CUSTOMER REQUESTED CHANGES

After a booking has been confirmed, any requested change may be subject to:

  • aircraft availability;
  • operator approval;
  • airport slot availability;
  • revised pricing;
  • additional operating costs;
  • repositioning costs;
  • revised crew requirements;
  • permit availability.

Requested changes may include:

  • departure times;
  • airports;
  • passenger numbers;
  • destinations;
  • overnight stays;
  • aircraft upgrades;
  • catering;
  • baggage requirements;
  • pet travel.

Minute Jets cannot guarantee that requested amendments can be accommodated.


19. CANCELLATION BY THE CUSTOMER

A confirmed charter booking may be cancelled by the Customer by providing written notice to Minute Jets.

Cancellation charges shall depend upon:

  • the operator's cancellation policy;
  • the time remaining before departure;
  • aircraft positioning already completed;
  • permits obtained;
  • crew deployment;
  • catering ordered;
  • ground transportation arranged;
  • other costs already incurred.

Certain bookings may be entirely non-refundable once confirmed.

Minute Jets shall communicate applicable cancellation charges once confirmed by the operator.


20. CANCELLATION BY THE OPERATOR

An aircraft operator may cancel a flight where necessary for reasons including:

  • safety;
  • aircraft unserviceability;
  • weather;
  • regulatory directives;
  • airport closure;
  • force majeure;
  • crew illness;
  • operational limitations.

Where possible, Minute Jets shall use reasonable efforts to source a suitable alternative aircraft.

Alternative aircraft may involve revised pricing.

Minute Jets cannot guarantee replacement aircraft availability.


21. REFUNDS

Where a refund is due, the amount shall be determined after consideration of:

  • operator cancellation charges;
  • airport fees;
  • landing permits;
  • handling charges;
  • catering costs;
  • positioning costs;
  • third-party supplier charges;
  • taxes where applicable.

Refunds shall generally be processed using the original payment method unless otherwise agreed or required by law.

Processing times may vary depending on banking institutions and payment providers.

Minute Jets shall not be responsible for delays caused by financial institutions or payment processors.


22. NO-SHOWS

Failure of any passenger to arrive before the operator's required reporting time may be treated as a no-show.

Where a no-show occurs:

  • the aircraft may depart without the absent passenger;
  • additional charges may apply;
  • refunds may not be available;
  • repositioning costs may become payable.

Operators determine final boarding cut-off times.


23. PASSENGER CONDUCT

Passengers shall behave in a safe, respectful and lawful manner throughout the charter.

Passengers must not:

  • threaten crew members;
  • interfere with flight operations;
  • damage aircraft property;
  • endanger other passengers;
  • consume prohibited substances;
  • carry prohibited items;
  • engage in unlawful conduct.

The Pilot-in-Command retains absolute authority to refuse carriage or remove any passenger whose behaviour may compromise safety or security.

Minute Jets accepts no responsibility for losses arising from passenger misconduct.


24. BAGGAGE

Passengers are responsible for ensuring that baggage complies with:

  • aircraft limitations;
  • weight restrictions;
  • dangerous goods regulations;
  • customs requirements;
  • security procedures.

Certain aircraft have limited baggage capacity.

Minute Jets cannot guarantee acceptance of oversized baggage unless specifically confirmed by the operator.

Additional baggage may require:

  • aircraft upgrades;
  • revised routing;
  • baggage forwarding;
  • additional charges.

25. DANGEROUS GOODS

Passengers must comply with all applicable dangerous goods regulations.

Unless expressly authorised by the operator and permitted by applicable law, passengers must not transport prohibited hazardous materials, including but not limited to:

  • explosives;
  • flammable substances;
  • toxic materials;
  • corrosive substances;
  • compressed gases;
  • radioactive materials;
  • prohibited chemicals.

Passengers remain responsible for declaring any regulated items prior to travel.

Failure to do so may result in denied boarding or referral to the relevant authorities.


26. PET TRAVEL

Pets may be transported only where:

  • accepted by the operator;
  • permitted by destination regulations;
  • all health documentation has been provided;
  • vaccination requirements have been satisfied;
  • import permits have been obtained where required.

Minute Jets cannot guarantee pet acceptance on every aircraft.

Customers remain solely responsible for compliance with veterinary, quarantine and customs requirements.


27. CATERING AND SPECIAL REQUESTS

Minute Jets shall use reasonable efforts to arrange requested:

  • catering;
  • beverages;
  • flowers;
  • ground transportation;
  • concierge services;
  • accommodation;
  • security services;
  • medical assistance;
  • accessibility requirements.

Special requests remain subject to:

  • availability;
  • operator approval;
  • supplier availability;
  • regulatory requirements.

Minute Jets does not guarantee the availability of any requested service.


28. CUSTOMS, IMMIGRATION AND SECURITY

Passengers remain solely responsible for:

  • passports;
  • visas;
  • immigration approvals;
  • customs declarations;
  • vaccination requirements;
  • health documentation;
  • travel permits.

Minute Jets shall not be responsible for losses arising from:

  • denied entry;
  • refused boarding;
  • customs detention;
  • immigration refusal;
  • quarantine requirements;
  • travel restrictions.

29. FORCE MAJEURE

Minute Jets shall not be liable for any failure or delay in performing its obligations where such failure results from events beyond its reasonable control, including but not limited to:

  • natural disasters;
  • acts of God;
  • severe weather;
  • volcanic ash;
  • pandemics;
  • epidemics;
  • war;
  • terrorism;
  • civil unrest;
  • strikes;
  • governmental action;
  • sanctions;
  • airport closures;
  • airspace restrictions;
  • cyber incidents;
  • failures of public utilities;
  • shortages of fuel or essential services.

Where a Force Majeure Event occurs, Minute Jets may suspend, modify or terminate the affected booking without liability except as required by applicable law.


30. ADDITIONAL CHARGES

The Customer acknowledges that additional charges may arise after booking, including but not limited to:

  • aircraft de-icing;
  • overnight parking;
  • airport overtime charges;
  • passenger waiting time;
  • crew accommodation;
  • revised airport charges;
  • customs fees;
  • additional permits;
  • security costs;
  • fuel surcharges;
  • repositioning expenses;
  • passenger-requested itinerary changes.

Minute Jets shall notify the Customer of additional charges as soon as reasonably practicable after becoming aware of them.


31. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Minute Jets shall not be liable for any direct, indirect, incidental, consequential, special, exemplary or punitive damages arising out of or relating to:

  • the operation of any aircraft by a third-party operator;
  • flight delays or cancellations beyond Minute Jets' reasonable control;
  • aircraft substitutions;
  • weather conditions;
  • airport restrictions;
  • governmental actions;
  • air traffic control decisions;
  • customs or immigration decisions;
  • baggage loss or damage while in the custody of the operator;
  • acts or omissions of third-party service providers;
  • loss of business, profits, revenue, goodwill or anticipated savings.

Minute Jets' role is limited to arranging charter services as an independent broker. Operational responsibility for each flight rests solely with the licensed aircraft operator.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.


32. INDEMNIFICATION

The Customer agrees to indemnify, defend and hold harmless Minute Jets, its directors, officers, shareholders, employees, consultants and agents from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising from:

  • breach of these Terms;
  • inaccurate information supplied by the Customer;
  • breach of applicable laws or regulations by the Customer or any passenger;
  • passenger misconduct;
  • damage caused by passengers to aircraft or third-party property;
  • claims arising from the Customer's instructions or omissions.

This indemnity survives termination of these Terms.


33. INSURANCE

Minute Jets maintains such insurance as it considers appropriate for its brokerage business.

Each aircraft operator is solely responsible for maintaining aviation insurance required under applicable law for the operation of its aircraft.

Minute Jets does not provide aviation liability insurance on behalf of passengers.

Customers are strongly encouraged to obtain independent travel, medical, cancellation and personal insurance appropriate to their journey.

Evidence of an operator's insurance may be requested through Minute Jets, subject to the operator's policies and applicable confidentiality obligations.


34. THIRD-PARTY SERVICES

Minute Jets may assist in arranging third-party services, including but not limited to:

  • ground transportation;
  • hotel accommodation;
  • yacht charters;
  • helicopter transfers;
  • catering;
  • concierge services;
  • security services;
  • travel support.

Such services are provided by independent third parties.

Minute Jets does not warrant or guarantee the performance of third-party providers and shall not be liable for their acts, omissions or defaults.


35. INTELLECTUAL PROPERTY

All intellectual property rights in the Minute Jets website, branding, logos, graphics, text, software, designs, photographs, videos and other content are owned by or licensed to Minute Jets unless otherwise stated.

No content may be copied, reproduced, distributed, modified, published, transmitted or exploited without Minute Jets' prior written consent, except as permitted by applicable law.

The "Minute Jets" name, logos and branding are proprietary assets and may not be used in any manner likely to cause confusion or imply endorsement without written permission.


36. WEBSITE USE

Users agree to use the Minute Jets website only for lawful purposes.

Users must not:

  • interfere with website functionality;
  • attempt unauthorized access to systems or data;
  • introduce malicious software or code;
  • misuse booking systems;
  • scrape or harvest data without authorization;
  • upload unlawful or infringing content;
  • impersonate another person or entity.

Minute Jets reserves the right to suspend or terminate access where misuse is suspected.


37. PRIVACY

Minute Jets processes personal information in accordance with its Privacy Policy and applicable data protection laws.

Personal information may be collected to:

  • arrange charter bookings;
  • verify identities;
  • comply with legal obligations;
  • communicate with customers;
  • process payments;
  • provide customer support;
  • improve services;
  • detect fraud and security threats.

Where necessary to perform our services or comply with legal obligations, personal data may be shared with:

  • aircraft operators;
  • airports;
  • ground handling agents;
  • payment service providers;
  • governmental authorities;
  • customs and immigration authorities;
  • professional advisers;
  • technology service providers.

By using our services, the Customer acknowledges that such processing may involve international transfers of personal information where required for international travel arrangements.

38. ANTI-MONEY LAUNDERING (AML) AND KNOW YOUR CUSTOMER (KYC)

Minute Jets is committed to conducting business in accordance with applicable anti-money laundering, counter-terrorist financing and sanctions laws.

Minute Jets reserves the right to:

  • verify customer identity;
  • request proof of source of funds where legally required;
  • request corporate ownership information;
  • conduct sanctions screening;
  • decline transactions presenting unacceptable legal or regulatory risk;
  • suspend or terminate bookings where required by law.

Failure to provide requested information may result in delays, cancellation of services or refusal to proceed with a booking.


39. SANCTIONS COMPLIANCE

Minute Jets shall not facilitate transactions that would violate applicable sanctions, export controls or trade restrictions.

Customers represent and warrant that they are not:

  • subject to applicable sanctions;
  • acting on behalf of sanctioned persons or entities;
  • seeking services in violation of applicable sanctions laws.

Minute Jets reserves the right to refuse or terminate services where required to comply with applicable sanctions or legal obligations.


40. CONFIDENTIALITY

Each party agrees to keep confidential any non-public commercial, financial or operational information obtained through the course of the business relationship, except where disclosure is:

  • required by law;
  • required by a competent authority;
  • necessary to perform the requested services;
  • made with the prior written consent of the disclosing party.

This obligation survives termination of these Terms.


41. ELECTRONIC COMMUNICATIONS

The Customer agrees that Minute Jets may communicate electronically, including by email, secure messaging platforms or other agreed digital channels.

Electronic communications, confirmations and approvals may constitute legally binding communications to the extent permitted by applicable law.

The Customer is responsible for ensuring that their contact information remains accurate and up to date.


42. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and, where applicable, the laws and regulations governing entities established within the Sharjah Media City (SHAMS) Free Zone.


43. DISPUTE RESOLUTION

The parties shall use reasonable efforts to resolve any dispute arising under these Terms through good faith negotiations.

If a dispute cannot be resolved amicably within a reasonable period, either party may pursue the remedies available under the applicable laws of the United Arab Emirates before the courts or other competent forum having jurisdiction over the matter.

Nothing in this clause prevents either party from seeking urgent interim or injunctive relief where permitted by law.


44. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal or unenforceable by a court or competent authority, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.


45. NO WAIVER

Failure by Minute Jets to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

Any waiver must be in writing and signed by an authorized representative of Minute Jets.


46. ASSIGNMENT

The Customer may not assign or transfer any rights or obligations under these Terms without the prior written consent of Minute Jets.

Minute Jets may assign or transfer its rights or obligations where permitted by applicable law and where such assignment does not materially prejudice the Customer's rights.


47. ENTIRE AGREEMENT

These Terms, together with any booking confirmation, charter-specific agreement, operator terms expressly incorporated by reference, and the Minute Jets Privacy Policy, constitute the entire agreement between the parties in relation to the brokerage services provided by Minute Jets.

They supersede all prior discussions, negotiations and understandings relating to the same subject matter.


48. AMENDMENTS

Minute Jets may amend these Terms from time to time.

Updated versions will be published on the Minute Jets website with a revised "Last Updated" date.

Material changes will apply prospectively unless otherwise required by applicable law.

Continued use of the services after publication of revised Terms constitutes acceptance of those revised Terms.

50. ACKNOWLEDGEMENT
